These Terms of Service (the “Terms”) govern your access to and use of the website operated by Delta Medical Services, doing business as DeltaRCM (“Delta Medical Services,” “DeltaRCM,” “we,” “our,” or “us”), together with any content, forms, and communications offered through it (collectively, the “Website”). Please read these Terms carefully. By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy & SMS Terms of Service. If you do not agree, please do not use the Website.
1. Agreement to These Terms
By accessing, browsing, or otherwise using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Website on behalf of a practice, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.
2. Who We Are
Delta Medical Services is a CPA-led management services organization (MSO) providing revenue cycle management, credentialing, compliance support, bookkeeping, payroll, prior authorization, and related practice operations services to healthcare providers. The Website provides general information about these services.
3. The Website Is Informational; Services Are Governed by Separate Agreements
The content on the Website is provided for general informational purposes only. Nothing on the Website constitutes an offer, solicitation, or binding commitment to provide services, and no contractual relationship for services is created by your use of the Website.
Any engagement of Delta Medical Services for services is governed exclusively by a separate written agreement executed between you and Delta Medical Services (for example, a master services agreement and, where applicable, a Business Associate Agreement). In the event of a conflict between these Terms and such a separate agreement, the separate agreement controls with respect to the services it covers.
4. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Website. By using the Website, you represent and warrant that you meet these requirements and that your use complies with all applicable laws and regulations.
5. Acceptable Use
You agree that you will not:
- Use the Website for any unlawful, fraudulent, or unauthorized purpose;
- Attempt to gain unauthorized access to the Website, its servers, or any connected systems or networks;
- Interfere with, disrupt, or place an unreasonable load on the Website, including through viruses, malware, denial-of-service activity, or automated scraping;
- Reproduce, duplicate, copy, sell, resell, or commercially exploit any portion of the Website without our prior written consent;
- Misrepresent your identity or affiliation, or submit false, misleading, or unlawful information;
- Use the Website in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use of it.
6. Intellectual Property
The Website and all of its contents — including text, graphics, logos, icons, images, page layouts, and the compilation thereof, as well as the “DeltaRCM” and “Delta Medical Services” names and marks — are owned by or licensed to Delta Medical Services and are protected by United States and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your own informational and business-evaluation purposes. All rights not expressly granted are reserved. You may not use our names, marks, or content without our prior written permission.
7. Submissions and Communications With Us
If you submit information through a form, request a consultation or audit, or otherwise contact us through the Website, you grant us permission to use that information to respond to you and to provide the services or information you requested, consistent with our Privacy Policy.
You are responsible for the accuracy of the information you submit, and you agree not to submit any information you do not have the right to share.
8. No Protected Health Information Through the Website
The Website and any associated email or SMS channels are not secure or encrypted channels for Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act (“HIPAA”). Please do not submit, transmit, or request PHI through the Website, contact forms, email, or SMS.
Where Delta Medical Services handles PHI in the course of providing services, that handling is governed by a separate Business Associate Agreement and the applicable services agreement — not by these Terms.
9. Privacy and Communications
Your use of the Website is also governed by our Privacy Policy & SMS Terms of Service, which describes how we collect, use, and protect your information and how SMS consent and opt-out work. By using the Website and providing your contact information, you consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.
10. Third-Party Links and Resources
The Website may contain links to third-party websites, services, or resources that we do not own or control. We provide these links for convenience only and are not responsible for the content, accuracy, policies, or practices of any third party. Accessing third-party sites is at your own risk and subject to their terms.
11. Disclaimers; No Professional Advice
The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Delta Medical Services disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that any content is accurate or complete.
Information on the Website is general in nature and does not constitute medical, legal, accounting, tax, compliance, or other professional advice. You should consult a qualified professional before acting on any information found on the Website.
12. No Guarantee of Results
Any figures, metrics, case studies, or examples presented on the Website — including those describing revenue recovery, collection improvements, denial rates, or processing times — reflect particular past circumstances and are not a promise, projection, or guarantee of future results. Outcomes depend on factors specific to each practice, payer, and engagement.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Delta Medical Services, its officers, directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your access to or use of (or inability to use) the Website, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Website and these Terms will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Delta Medical Services and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Website, your violation of these Terms, or your violation of any rights of a third party or applicable law.
15. Changes to the Website and These Terms
We may modify, suspend, or discontinue any part of the Website at any time without notice. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Website after changes become effective constitutes your acceptance of the revised Terms.
16. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Subject to Section 17, you agree that any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Contra Costa County, California, and you consent to the personal jurisdiction of those courts.
17. Dispute Resolution
Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally and in good faith. If we are unable to resolve a dispute within sixty (60) days of written notice, either party may pursue the matter through the courts identified in Section 16. Nothing in these Terms prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information.
18. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
19. Entire Agreement
These Terms, together with our Privacy Policy & SMS Terms of Service and any separate written agreement governing services, constitute the entire agreement between you and Delta Medical Services regarding your use of the Website and supersede any prior agreements on that subject.
